Terms & Conditions for the Osteoporosis Options Decision Support Tools

The use of the Osteoporosis Options eLearning (the ‘eLearning) is subject to the following terms and conditions (the ‘Terms’):

You accept the Terms by using the eLearning featuring these Terms.

By accepting the Terms, you agree to use the eLearning only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or accepted practices or guidelines in the UK.

The Terms take effect from the date on which you first use the eLearning. If you do not agree to be legally bound by the Terms please do not access and/or use the eLearning.

In the event that changes are made to the eLearning, including these Terms, you are legally bound by the updated or amended Terms from the first time that you access and use the eLearning after the changes are made.

Introduction to the eLearning

The copyright and other intellectual property rights of the eLearning are, and shall remain, the property of Keele University.

The eLearning was initially developed by Keele University and funded by the National Institute for Health and Care Research (NIHR) (Clinician Scientist Award (CS-2018-18-ST2-010)/NIHR Academy), the Royal Osteoporosis Society (REF: 430) and the Haywood Foundation. The views expressed are those of the author(s) and not necessarily those of the NIHR or the Department of Health and Social Care. Additional eLearning modules were funded by unrestricted sponsorship from UCB Pharma. UCB Pharma had no input to the content or design of the eLearning.

Using the eLearning

You accept that the eLearning is only intended for use by qualified healthcare professionals.

You acknowledge and agree that eLearning is meant to support clinical and communication skills and not replace the healthcare professional’s clinical judgement. Keele University and PDS Ltd are not liable for any adverse reactions experienced by a patient as a result of a recommendation made by the eLearning.

You agree to use the eLearning only for lawful purposes, and in a manner that does not infringe the rights of, or restrict or inhibit the use of the eLearning by any third party. Such restriction or inhibition includes, without limitation, conduct which is unlawful, or which may cause harm, harass or cause distress or inconvenience to any person.

Unless you have been specifically permitted to do so in a separate agreement with Keele University, you agree that you may not:

  • reproduce, duplicate, sell, trade or resell the eLearning for any purpose;
  • copy, adapt, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract the source code of the eLearning or any part thereof;
  • engage in any activity that interferes with or disrupts the eLearning (or the servers and networks which are connected to the eLearning).

Keele University shall have no liability to rectify any particular defect if attempts to rectify such defect other than normal recovery or diagnostic procedures have been made by you without our permission. We do not warrant or guarantee:

  • that we will be able to rectify all defects, nor that any defect which does not materially affect your operations using the eLearning will be corrected;
  • that the eLearning will operate in conjunction with any hardware items or software products other than with those identified;
  • that the eLearning will operate uninterrupted or error free.

The Terms will continue to apply until terminated by either you, or Keele as set out below:

  • should you decide to stop using the eLearning at any time;
  • Keele University decide that the provision of the eLearning in the UK is, in our opinion, no longer viable;
  • Keele University withdraws the eLearning.

Updates

Keele University reserves the right to update and change the eLearning at any time in order to address changes in clinical guidance, improve functionality and reflect changing user and business needs.

Keele University also reserves the right to withdraw the eLearning if and when its content is out of date and no longer consistent with clinical guidance.

Links contained in the eLearning will lead to other websites which are not under our control. We are not responsible for the content of any linked site. Listing and linking should not be taken as an endorsement of any kind and we accept no liability in respect of the content. We cannot guarantee that these links will work all of the time and have no control over the availability of the linked pages.

Liability

We do not accept any liability to you for any of the following types of loss or damage (which you may suffer as a result of your use of the eLearning whether the losses were foreseen, foreseeable, unforeseen, unforeseeable, known, unknown or otherwise:

  • loss which arose when you first accessed or registered to use the eLearning (even if that loss results from our failure to comply with these terms or our negligence);
  • any business loss you may suffer, including loss of revenue, loss of profits or loss of anticipated savings (whether those losses are the direct or indirect result of our default);
  • loss which you suffer other than as a result of our failure to comply with these Terms or our negligence or breach of statutory duty; any loss suffered due to the default of any party other than us;
  • we do not accept any liability to you if we fail, or are interrupted or delayed in the performance of any obligation because of: the non-availability or failure of any telecommunications or computer services, systems, equipment or software operated or provided by you or any third party; any other event not reasonably within our control.

Provided always that nothing in the Terms shall limited the liability of Keele University for fraud or for death or personal injury caused by their negligence.

General

If any of these terms are determined to be illegal, invalid or otherwise unenforceable then the remaining terms shall remain in full force and effect.

These terms shall be governed by and interpreted in accordance with the laws of England and any dispute under them shall be heard in the courts of England.
